Terms and conditions of sale.

1. Provider
Webinar Solution FZCO · company registered in Dubai, United Arab Emirates · operating under the commercial brand WA·COMPANY. Contact : briefing@wa.company.
2. Purpose
These terms govern the agency mandates concluded between WA·COMPANY and a Client, covering the design, acquisition, technical operation and support of live-event systems (webinars, multi-day challenges, one-off lives) for the purposes of acquisition and commercial conversion.
3. Conclusion of the mandate
Any engagement begins upon the signature of a written mandate specifying : the operational scope, the duration, the measurable objectives, the remuneration structure and the expected deliverables. No engagement is undertaken on the basis of a verbal exchange or a briefing form alone.
4. Remuneration · Performance only
The agency's remuneration is generally indexed to performance. It is calculated after deducting :
- gross advertising costs (Meta, Google, YouTube, TikTok, Snapchat, other platforms) ;
- SMS and technical infrastructure costs re-billed at direct cost ;
- customer refunds processed within legal timeframes ;
- unpaid invoices not recovered at the end of the follow-up period.
A fixed flat adjustment may be applied to cover set-up costs depending on the mandate. Details are set out in each signed contract.
5. Invoicing · Payment
Invoicing occurs on a monthly basis based on gross volume collected, net of the deductions above. Payment within 15 days of invoice receipt, by bank transfer. Invoiced amounts are stated exclusive of tax; VAT in force in the United Arab Emirates (currently 5%) is added where applicable. TRN: 104342080900001. Any delay triggers late-payment interest at the legal rate in force in the United Arab Emirates, without prior formal notice.
6. Client obligations
- Provide access to the necessary technical accounts (Stripe, ad platforms, CRM, email platform).
- Ensure attendance at the agreed rehearsals and live events.
- Fund the advertising budget within the timeframes announced by the agency.
- Comply with the editorial charter and operational recommendations issued by WA·COMPANY.
7. Agency obligations
WA·COMPANY is bound by a best-efforts obligation, not an obligation of result. The agency commits its know-how, its in-house teams and its partner network to maximise system performance. Results referred to publicly (portfolio figures, Two Comma Club trophies, client cases) are past observations and constitute no guarantee of future results.
8. Intellectual property
The creations (live scripts, email sequences, ad angles, CRM workflows, creative assets) delivered as part of a mandate remain the property of WA·COMPANY until full payment. An exclusive right of use is granted to the Client for the duration of the mandate. Afterwards, a buy-out of the rights is possible on request.
9. Confidentiality
Each party undertakes to preserve the strict confidentiality of information received (offers, margins, revenue, client lists, internal systems). This undertaking survives the end of the mandate for a period of five years.
10. Duration · Termination
The standard mandate has a minimum duration of ninety days. Beyond that point, the relationship continues by tacit renewal. Either party may terminate it with thirty days written notice. In the event of a serious breach (non-payment, harm to the brand, breach of obligations), termination may be immediate.
11. Liability
WA·COMPANY's total liability may not exceed, for all damages combined, the amount actually invoiced for the last three months of the mandate. Indirect damages, loss of opportunity, loss of data or reputation are expressly excluded.
12. Governing law · Jurisdiction
These terms are governed by the law of the United Arab Emirates. Any dispute relating to their performance or interpretation shall be brought before the competent courts of the publishing company's registered office (Dubai, UAE).
